The Contracts Lead serves as a key driver of the organization’s business by facilitating the drafting, negotiation, and execution of a wide array of business deals. This position not only is responsible for the construction, evaluation, and negotiation of a wide variety of moderate to complex contracts, but also the identification, development, and continuous improvement of strategic, innovative contracting forms, policies, solutions, and negotiation strategies to ensure that the organization can execute its business in accordance with desired levels of risk and in a market-competitive manner.

YOUR TYPICAL DAY WILL INCLUDE:

  • Leading the contracting function for the organization and its affiliates, as a part of the legal department. This includes drafting, reviewing, and analyzing a wide variety of moderate to complex contracts on behalf of the organization and its affiliates (including but not limited to sales agreements, contracts for services, consulting agreements, licensing/distributor agreements, master services agreements/statements of work, partnership agreements, research agreements, and government contracts.

  • Primary point of contact for internal stakeholders on contracts. Providing authoritative, practical, strategic, and business-savvy guidance to internal business team members related to the development, evaluation, and negotiation of contracts. Working with internal business teams to understand the types and degrees of risk at issue in their particular divisions/product areas/deals.

  • Primary point of contact and contract negotiator with external customers, responsible for developing negotiation strategy, drafting and reviewing contract revisions, and negotiating directly with customers, on non-legal contract terms.

  • Working closely with company attorneys to identify creative, effective solutions regarding legal issues/provisions in contracts and other areas of legal risk.

  • Identifying, developing, and implementing new or improved contract forms, policies, and processes (in collaboration with other staff in the legal department) to support organizational business strategy and growth.

  • Monitoring the competitiveness and efficacy of the organization’s contract terms. Identifying market trends and company customer history regarding issues including, but not limited to, contract requirements, expectations, and risk allocation, and make recommendations regarding their impact on the organization’s contracting approaches.

  • Establishing service level agreements for contract processing. Monitoring internal stakeholder and external customer satisfaction with internal contracting practices.

  • Providing guidance and training to internal staff on contracting strategy and practices.

Required Skills

THESE ARE THE SKILLS YOU WILL NEED IN YOUR TOOLBOX:

  • Knowledge of contracting concepts and effective negotiation strategies. Must have a clear understanding of the business impacts of contract language.

  • Ability to draft moderate to complex contractual instruments that protect the company’s interests/adequately mitigate risk, while ensuring the achievement of business goals through customer acceptance of the same.

  • Analytical skills and superior attention to detail.

  • Negotiating, communication, and persuasive skills, both in one-on-one and in group settings, verbally and in writing. Ability to convey complex information to internal and external customers in a clear, concise manner.

  • Ability to apply organizational standards when drafting and negotiating contracts, while simultaneously being agile enough to identify and implement creative resolutions to contract issues.

  • Strong orientation toward excellence and continuous improvement of processes and policies.

  • Excellent interpersonal skills and ability to build strong working relationships and collaborate with individuals at all levels of the organization. Ability to work proactively and efficiently in a fast-paced, team-based, dynamic environment.

  • Organizational and time management skills and ability to work independently

  • Ability to establish priorities, handle multiple matters at once, and meet rapid deadlines

  • Decision-making and problem-solving skills, using independent judgment.

  • Proficient in Windows, Outlook, Excel, PowerPoint, Word, etc.

  • Ability to identify and mitigate material contract/business risks and to avoid overreacting to non-material risks

  • Sound judgment and discretion, strong commitment to ethics, and the ability to maintain the highest level of confidentiality and integrity.

Required Experience

THIS IS WHAT YOU MUST BRING TO THE TABLE:

  • Bachelors degree in business or related field, Bachelors in Pre-Law preferred.

  • 5-years of experience in contract management and negotiation, including experience in the drafting, evaluation, and negotiation of a variety of technical and complex business contracts.

  • Working experience with state and/or federal government contracts (e.g., FAR requirements) required.

  • Certified Commercial Contracts Manager or Certified Federal Contracts Manager preferred.
